The Office of Legal Affairs has created several templates to help expedite negotiation of several common arrangements. Pursuant to the Rush Contract Review and Approval Policy, the template agreements found below do not require approval by the Office of Legal Affairs or Corporate Compliance prior to execution if the template agreement is not modified. However, if any modifications are made to the template agreements found below, the modified template must be submitted to the Office of Legal Affairs for review and approval prior to execution.
Independent Contractor Templates
Independent Contractor: This template should be used when an independent contractor provides services to Rush and intellectual property will not be developed as a result of the services.
Independent Contractor (Intellectual Property Protection): This template should be used when an independent contractor provides services to Rush and Rush has an interest in owning any intellectual property developed under the arrangement.
Confidential Information Agreements
Reciprocal Confidential Information Agreement: This template should be used when Rush and another party will disclose confidential information to each other.
Non-Reciprocal Confidential Information Agreement: This template should be used when Rush will disclose its confidential information to another party.
Academic Affiliation Agreements
The templates below should be used when Rush students rotate to other institutions or clinical sites
Supplemental Staffing Agreement: This template should be used when Rush receives staffing services from a staffing firm. Rush's Business Associate Agreement should be executed and attached as Exhibit B of the Supplemental Staffing Agreement template.
Business Associate Agreement: Business associates are external vendors with whom Rush shares a patient's Protected Health Information (PHI). All departments are required by law to have Business Associate Agreements (written agreements) with all such vendors.
